Item 5.02	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 17, 2020, Regions Financial Corporation (the “Company”) announced that, effective March 31, 2020, Fournier J. “Boots” Gale, III will step down as Senior Executive Vice President, General Counsel and Corporate Secretary of the Company. Mr. Gale will continue with the Company in a senior advisory role until December 1, 2020. In connection with the transition, he will receive a salary of $120,000 and will continue to be eligible for long term incentive awards. On December 1, 2020, Mr. Gale will retire from the Company, and in connection with his retirement, will not be eligible for any special financial entitlements.

The Company also announced that it has hired Tara Plimpton as Senior Executive Vice President and General Counsel of the Company, effective as of the commencement of her employment with the Company, which is expected to be April 13, 2020, and appointed Executive Vice President and Chief Governance Officer, Hope D. Mehlman, as Corporate Secretary of the Company, effective March 31, 2020.
