First Light Acquisition Group, Inc. (the “Company”) is unable to file its Form 10-Q for the quarterly period ended June 30, 2023 within the prescribed time period without unreasonable effort or expense because additional time is needed to complete the review of its financial statements for the three and six months ended June 30, 2023. The Company anticipates that it will file its Form 10-Q within the five-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

Based on preliminary results, the Company expects to report a net loss of approximately $4.0 million and $6.2 million for the three and six months ended June 30, 2023, respectively, compared to net income of approximately $4.2 million and $5.6 million for the three and six months ended June 30, 2022, respectively. These financial results reflect preliminary estimates of the Company’s results of operations as of the date of the filing of this Form 12b-25. These estimates are subject to change upon the completion of the reporting process and review of the Company’s financial statements, and actual results may vary significantly from these estimates.
